Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your access to and use of AdPanel ("AdPanel," "we," "us," or "our"), operated by Avalon Platforms, including our website at adpanel.io, web application, Chrome extension, Model Context Protocol (MCP) integration, and Instagram automation features (collectively, the "Service").
By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
AdPanel provides tools for brands and creators, including:
- AI-assisted UGC-style image and video ad creation
- Product shots, recreates, and related creative workflows
- Instagram automations such as comment-to-DM and DM keyword replies
- Integration with Claude and other MCP clients
- A Chrome extension for importing reference media into AdPanel
We may add, change, or discontinue features at any time. Beta or experimental features may be less reliable or subject to additional limits.
3. Accounts
You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. You must be at least 18 years old to use the Service.
Authentication is provided through our identity partner (Clerk). You agree to comply with their terms as applicable.
4. Subscriptions, credits, and billing
Some features require a paid subscription or credits. Prices, plan limits, and included usage are shown at checkout or in the product. Payments are processed by Stripe.
Credits and subscription benefits are generally non-transferable unless we state otherwise. Unless required by law, fees are non-refundable once a billing period has started or credits have been consumed, except where we explicitly offer a refund.
Subscriptions renew automatically until cancelled. You can cancel through your account billing settings. Cancellation stops future charges; access may continue until the end of the current billing period.
5. Instagram and third-party platforms
If you connect an Instagram account or use automations, you authorize AdPanel to act on your behalf through Meta's APIs to manage comments and messages according to your automation settings. You must comply with Meta's Platform Terms, Instagram's terms, and applicable law.
You represent that you have the right to connect any Instagram account you link and to message users who interact with your content. You are responsible for the content of automated replies and DMs you configure.
We are not responsible for actions taken by Meta, Instagram, or other third-party platforms, including API outages, policy changes, account restrictions, or delivery failures outside our control.
6. Acceptable use
You agree not to use the Service to:
- Violate any law or third-party rights
- Send spam, deceptive messages, or unsolicited bulk outreach
- Harass, threaten, or discriminate against others
- Infringe intellectual property or publicity rights
- Upload malware, attempt unauthorized access, or abuse our APIs
- Generate or distribute illegal, fraudulent, or harmful content
- Misrepresent AI-generated content where disclosure is required
We may suspend or terminate accounts that violate these Terms or pose risk to the Service, other users, or third parties.
7. Your content
You retain ownership of content you upload (images, videos, brand assets, prompts, automation copy, and similar materials). You grant AdPanel a worldwide, non-exclusive license to host, process, reproduce, and display that content solely to operate and improve the Service, including sending it to AI and infrastructure providers as needed to fulfill your requests.
You represent that you have all rights necessary to upload and use your content with the Service, and that your use does not violate any third-party rights.
8. AI-generated output
Outputs generated by the Service may be inaccurate, incomplete, or unsuitable for your intended use. You are solely responsible for reviewing, editing, and approving any content before publishing or sending it — including automated Instagram replies and DMs.
We do not guarantee that AI-generated content is original, non-infringing, or fit for a particular purpose. Use at your own risk.
9. Intellectual property
The Service, including software, design, and branding (excluding your content), is owned by Avalon Platforms and its licensors and is protected by intellectual property laws. These Terms do not grant you any right to use our trademarks except as needed to use the Service in the ordinary course.
10. Privacy
Our Privacy Policy explains how we collect and use personal information, including how to request deletion of your data. To disconnect Instagram, use Settings → Connections in AdPanel. To delete your account or data, contact us at hi@avalonplatforms.com.
11. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination will survive (including payment obligations, disclaimers, and limitations of liability).
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVALON PLATFORMS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
14. Changes
We may update these Terms from time to time. We will post the revised version on this page and update the "Last updated" date. Material changes may be communicated by email or in-product notice. Continued use after changes take effect constitutes acceptance.
15. General
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where prohibited. If any provision is unenforceable, the remaining provisions remain in effect.
